Article I – Name and Purpose
The name of the organization is the Greendale Women’s Golf Association (GWGA). GWGA is a league for experienced women golfers of all abilities who enjoy playing the game of golf together.
Article II – Membership and Dues
Section 1. Membership is open to any woman with an established USGA handicap and those who plan to obtain a handicap by playing five (5) rounds of golf. Long term members of GWGA who are 80 years or older can be designated Legacy Members for Life at the discretion of the Board of Directors (Board).
Section 2. The Board shall establish dues on an annual basis. Dues will be announced prior to the annual Fall meeting/luncheon, and must be paid before playing in the league. Dues are non-refundable. Legacy members are members who do not pay dues, are welcome to play noncompetitive golf with the league, and are invited to the Fall luncheon.
Article III – Officers and Elections
Section 1. Officers. The officers who make up the Board shall be the President, Vice President, Secretary, Treasurer, and Tournament/Handicap Chair.
President. The president shall preside over meetings of the organization and Board; serve as the primary contact for the Greendale Management; develop meeting agendas, including requesting any new business from members; be the liaison with members who have questions/issues for the Board; and coordinate the work of all officers of the Board to carry out the purpose of the organization. She shall sign checks for the organization if the Treasurer is unable to do so.
Vice President. The vice president shall assist the president and carry out the president’s duties in her absence or inability to serve. She shall be responsible for the end-of-year luncheon and GWGA-sponsored trips.
Secretary. The secretary shall keep official records of the organization, take and record minutes, and send notices of all planned Board and Membership meetings with an agenda to the membership no less than 7 days in advance. She shall have approved minutes of Board meetings and a summary of what was discussed at Membership meetings posted on the web site, as well as email them, to the members. After consultation with the Treasurer, she shall have the membership roster posted on the GWGA website as soon as possible after the start of the season.
Treasurer. The treasurer shall receive all funds of the organization, keep an accurate record of receipts and expenditures, and pay out funds as necessary. She shall compile, with input of the other Board members and committee chairs, as appropriate, an annual budget for approval by the Board, and once approved, have it posted on the GWGA website. She shall present a budget update at every Board and Membership meeting during the year. She shall present her records annually for audit by someone designated by the Board.
Tournament/Handicap Chair. The Tournament/Handicap Chair shall select and manage weekly games, update handicaps and flight distribution monthly, organize and manage 2-3 scrambles per season and the end-of-year championship, and calculate cash payouts for weekly games and championship prizes to be awarded at the Fall meeting/luncheon. She shall have the “GWGA Point System for Distribution of Awards” posted on the GWGA website.
Section 2. Duties of the Board. The duties of the Board shall be to transact business between membership meetings; create rules and policies; create standing and ad hoc committees, as needed; approve an annual budget and provide it to the membership; and prepare reports and recommendations to the membership as needed.
Section 3. Nominations and elections. Elections for Board positions shall be held at the Fall meeting/luncheon on the first Thursday in November. Prior to the meeting, a nominating committee designated by the Board shall solicit interested candidates for each Board position and present the list of candidates to the membership via email two weeks prior to the Fall meeting/luncheon. Voting shall be by voice vote if there is only one candidate for each position. If more than one person is running for an office, a ballot vote shall be taken. Election results shall be determined by majority vote of members present and voting.
Section 4. Terms of office. Board members are elected for two years, and may serve no more than two consecutive terms in the same office. The exception is the Tournament/Handicap Chair. For that position, the membership shall vote on a member to train for the position 1 year before she actually assumes the job.
Section 5. Vacancies. If there is a vacancy in the office of president, the vice president shall become the president. At the next regularly scheduled membership meeting, a new vice president shall be elected after a nominating committee seeks out volunteer(s) for the position. If there is a vacancy in any other office, the President shall fill the vacancy to serve out the term.
Article IV – Meetings.
Section 1. Board meetings.
a. There shall be three (3) planned Board meetings during the year. These meetings shall be open for members to attend.
b. The President, or another member of the Board, can also call for a meeting, as needed. If appropriate, these meetings shall also be open to members to attend.
c. Three Board members shall constitute a quorum at Board meetings.
Section 2. Membership meetings.
a. There shall be an Annual Spring meeting to welcome new members and transact other business as necessary.
b. There shall be an Annual Fall meeting/luncheon to elect officers, award prizes, and conduct other business as necessary.
c. The Board may schedule other Membership meetings, as needed.
Section 3. Conduct of Meetings.
Meetings of GWGA shall be conducted in accordance with Roberts Rules of Order.
Article V – Changes to Bylaws
Section 1. The bylaws of our league may be amended only by a majority vote of members present and voting at any membership meeting, provided such amendments have been published thirty (30) days prior on the GWGA website along with an email notice to the membership.
Section 2. Any proposed amendment to the Bylaws shall be submitted to the membership for vote upon:
unanimous vote of the Board, or
b. a written proposal by five or more members which has been submitted to the Board.
Section 3. Any proposed amendment shall contain:
a. The exact wording of the bylaw as it will read if the amendment is adopted.
b. If the bylaw is replacing an existing bylaw, the language of the original bylaw.
c. A statement of rationale for the change or addition.
d. The names of the proposers.
e. Information concerning endorsements or opposition from committees or Board members.
This information shall be provided to the membership for vote at the next Membership meeting as laid out in section 1.
Article VI – Adoption of Bylaws
The Bylaws were unanimously approved at the Members Meeting on Nov. 1, 2018.
